1. Acceptance of Terms

By accessing or using the Flow Myna platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you are authorised by that organization (whether as an employee, contractor, or agent) to bind it to these Terms. If you do not have such authority, you must not accept these terms or upload data.

Flow Myna Ltd ("Flow Myna," "we," "us," or "our") is a company registered in the United Kingdom. These Terms are governed by the laws of England and Wales.

2. Description of Service

Flow Myna is an AI-powered process mining platform that helps organizations understand, analyze, and optimize their business processes. Our Service includes:

• Automated data mapping and transformation using AI agents
• Object-centric process mining and visualization
• AI copilot for conversational process analysis
• Automated insight generation and recommendations
• Collaborative workspaces and project management
• API access for programmatic integration

3. Account Registration

To use the Service, you must be at least 18 years old and create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Your Data

Ownership

You retain all rights to the data you upload to the Service ("Your Data"). Flow Myna does not claim ownership of Your Data.

Data Processing

Where you upload personal data, the Data Processing Addendum applies. This DPA sets out our respective obligations as data controller (you) and data processor (Flow Myna) under UK GDPR and EU GDPR.

License Grant

By uploading Your Data, you grant Flow Myna a limited, non-exclusive license to process, analyze, and display Your Data solely for the purpose of providing the Service to you. This license terminates when you delete Your Data or close your account.

Your Responsibilities

You are responsible for ensuring that Your Data does not violate any applicable laws or third-party rights. You represent that you have all necessary rights and permissions to upload and process Your Data through our Service.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload data containing malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to build or operate a directly competing commercial process mining product
• Resell or redistribute the Service without our written consent

6. Subscription and Payment

Pricing

The Service is offered under various subscription tiers with different features and usage limits. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

Payment

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is due at the start of each billing period. We accept major credit cards and other payment methods as specified.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods, except as required by law.

7. AI Services

Our Service uses artificial intelligence to analyze your process data and generate insights. You acknowledge that:

• AI-generated outputs are provided for informational purposes and should be reviewed before acting upon them
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• You are responsible for decisions made based on AI-generated insights
• AI-generated outputs do not constitute professional, legal, financial, or operational advice
• We use third-party AI providers subject to their respective terms of service

8. Intellectual Property

Flow Myna Ownership

The Service, including its design, features, documentation, algorithms, software, and underlying technology, is owned by Flow Myna and protected by intellectual property laws. Flow Myna retains all rights to improvements, enhancements, and derivative works it creates in connection with providing the Service. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Your Ownership

You retain all rights to Your Data. You also own all process models, workflow analytics, insights, and other outputs generated by the Service from Your Data ("Customer Outputs"). Flow Myna claims no ownership of Customer Outputs.

Aggregated Data

Flow Myna may create anonymised, aggregated statistics from usage patterns across customers for improving the Service and generating industry benchmarks. Such aggregated data will not identify you, your organisation, or any individuals. You may opt out of aggregated data collection by contacting us.

AI Training

Flow Myna does not use Your Data to train AI models. Data sent to third-party AI providers for service functionality is processed under agreements that prohibit use for model training.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Flow Myna a perpetual, irrevocable, royalty-free licence to use such feedback without obligation to you. This does not include Your Data or confidential information.

Trademarks

All trademarks, logos, and service marks displayed on the Service are our property or the property of their respective owners.

9. Confidentiality

We will treat Your Data as confidential and will not disclose it to third parties except as necessary to provide the Service, as required by law, or with your consent. Our privacy practices are detailed in our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from use of the Service.

Each party's total liability for any claims arising from these Terms or the Service shall not exceed the amount paid to Flow Myna in the twelve months preceding the claim.

These limitations do not apply to: (a) liability for fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; (c) breach of confidentiality obligations; (d) indemnification obligations under Section 12; or (e) any liability that cannot be limited under applicable law.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

Your Indemnification

You agree to indemnify and hold harmless Flow Myna from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) Your Data or Customer Outputs; (b) your violation of these Terms; or (c) your violation of any third-party rights.

Flow Myna Indemnification

Flow Myna will defend, indemnify, and hold you harmless from any third-party claim that the Service infringes their intellectual property rights, provided you: (a) promptly notify us in writing; (b) give us sole control of the defence and settlement; and (c) provide reasonable assistance at our expense.

If the Service is found to infringe, or if we reasonably believe it may infringe, Flow Myna may at its option: (i) obtain a licence for your continued use; (ii) replace or modify the Service to be non-infringing; or (iii) if neither option is commercially reasonable, terminate your access and refund prepaid fees for unused periods.

Flow Myna has no obligation for claims arising from: (a) Your Data or modifications you make; (b) combination of the Service with third-party products; or (c) use of the Service in violation of these Terms.

13. Termination

Termination for Convenience

Either party may terminate these Terms at any time with thirty (30) days' written notice to the other party. Cancellation takes effect at the end of the notice period.

Termination for Cause

Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving notice. We may also suspend access immediately if required to comply with law or to prevent harm to other users.

Effect of Termination

Upon termination, your right to use the Service ceases. You may export Your Data in standard formats (CSV, JSON) for up to thirty (30) days following termination. After this period, we will delete Your Data unless retention is required by law. Upon request, we will provide written confirmation of deletion.

Sections relating to intellectual property, limitation of liability, indemnification, confidentiality, and governing law survive termination.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
